Transfer Partners advised the shareholder of Lupine Lighting Systems GmbH (“Lupine”) on the sale of a majority stake as part of the company succession. Founded in 1989, the company specializes in the development and production of high-quality, state-of-the-art portable premium lights for bicycles, e-bikes and outdoor use. Lupine products are popular worldwide due to their durability, luminosity and high-quality manufacturing. Lupine supplies sports and outdoor enthusiasts as well as companies from various sectors (including the bicycle industry, police, fire department and mountain rescue services).

Gimv is a Belgium-based investment fund with a focus on consumer goods, healthcare, life sciences, smart industries and sustainability. The financial investor has around 60 companies in its portfolio, which together generate a total annual turnover of over 4,0 billion Euro and employ more than 20,000 people. Lupine fits perfectly into the “Sports & Leisure” area of Gimv Consumer's “Home & Family” segment. Under the umbrella of Gimv, Lupine will be strategically developed as a separate platform in the coming years.

Transfer Partners' mandate encompassed the entire M&A process, including the preparation of transaction-related documents, the identification and approach of selected interested parties, due diligence support for the sellers and support during the negotiations up to the successful signing.
